Operator and effective date
Effective October 27, 2026. Version QLC-2026-10-27. Operator: Rick Broider DBA QuickLaunch Consulting, Austin, Texas, United States. Contact systems@saberra.com. These service terms apply to a paid engagement only when its accepted agreement expressly incorporates this version. They do not replace or amend an existing contract. We supply required business and billing details in the engagement paperwork before purchase.
1. Website and contracting
These Terms explain use of quicklaunchconsulting.com and the default terms for consulting services when expressly incorporated into an accepted agreement. An inquiry, free diagnostic, fit call, or visit does not purchase services or create a paid engagement. A paid engagement starts only when both parties accept a written statement of work (SOW) and its governing agreement. You must have legal capacity and authority to contract for the named client.
We will provide the service terms before acceptance. Acceptance may be by signature or an affirmative electronic action clearly referring to an identified version. We do not rely on browsing alone to impose payment, confidentiality, indemnity, or liability terms. Website-use restrictions apply only to the extent a valid agreement is formed or applicable law independently provides protection.
Mandatory law takes priority. For accepted engagements, required data-transfer clauses control their subject matter, then the signed DPA on personal-data processing, then a signed amendment, then the SOW for scope, fees and express named overrides, then the MSA and attached version of these Terms. An existing standalone NDA remains effective according to its terms unless expressly replaced. The Privacy Policy is a notice, not a waiver of rights or blanket consent.
2. Services and limits
Services may include founder advisory, purpose and alignment workshops, market validation, execution architecture, operating-system design, AI workflow implementation, workforce architecture, fractional operations support, and experimental labs. Only the services, deliverables, meetings, revisions, environments, and support stated in the SOW are purchased. Predictions, examples, proposed roadmaps, and website descriptions are not authorization for additional paid work.
Consulting is not legal, tax, accounting, investment, medical, mental-health, engineering-certification, or other licensed professional advice unless a separate agreement identifies the qualified provider and scope. Governance documents do not themselves form legal entities or replace legal review. A fractional role does not confer corporate officer, fiduciary, employment, procurement, payment, or signature authority unless expressly granted in a separate instrument.
The client retains its business decisions and legal compliance duties. We remain responsible for our contractual duties and applicable law. We do not guarantee revenue, funding, market demand, conflict resolution, security against all threats, uninterrupted third-party systems, or a particular business outcome.
3. Scope, cooperation and changes
The SOW identifies deliverables, objective acceptance criteria, dependencies, milestones, dates, price, expenses, and authorized contacts. The client supplies timely accurate information, lawful access, appropriately authorized participants, and decisions. Neither party must disclose passwords through ordinary forms or email; use an agreed secure access method.
If missing access or decisions affect delivery, we will identify the dependency and proposed schedule adjustment in writing. A delay does not authorize an undisclosed fee. Material changes require an approved change order stating scope, cost, timing, and risk. No next phase starts or becomes payable without written authorization. Production deployments, external communications, purchases, data deletion, and material permission changes require the approvals stated in the SOW.
4. Fees and payment
The SOW states currency, fees, taxes, milestones and any deposit. Unless it states otherwise, undisputed invoices are due within 14 calendar days. Deposits are advance payments credited against earned fees, not automatically forfeited. Expenses and noncancelable third-party commitments require advance written approval and itemization. Clients are responsible for separately identified applicable transaction taxes; we remain responsible for taxes on our income.
Notify us promptly of a disputed item, with its reason; pay undisputed amounts when due. A late objection does not waive mandatory rights or a good-faith error claim. We may suspend affected work after written notice and 10 calendar days to resolve overdue undisputed payment, while protecting client data and providing reasonable access to paid work. No late charge applies unless expressly agreed and lawful.
There is no automatic renewal or automatic card charging under these default terms. Any recurring plan needs separate price, billing interval, duration, renewal, cancellation, and affirmative authorization terms before enrollment.
5. Cancellation, rescheduling and refunds
Either party may end an SOW for convenience on 14 calendar days' written notice. The client may request that new work stop immediately; only necessary, agreed wind-down activity may continue. On termination the client pays for work actually performed at agreed rates or milestone allocations and approved noncancelable costs already reasonably committed. We mitigate avoidable loss, do not charge twice, and do not accelerate fees for unperformed future work.
We provide an itemized reconciliation and refund prepaid fees exceeding earned fees and approved noncancelable costs within 14 calendar days after termination, or an earlier mandatory deadline. A full unused deposit is refunded when no work or approved cost has been incurred. Completed conforming work is not refundable solely because strategy or preferences change, subject to express remedies and mandatory law. Processing fees are not automatically deducted from a required refund. Refunds use the original payment method where practicable and lawful.
Give at least 48 hours' notice to reschedule a session. One late reschedule is complimentary. Further late-cancellation or no-show charges apply only if the SOW expressly states them and they are lawful and proportionate to unrecoverable loss. The full project fee is not forfeited because of a missed session. If we cancel, we offer a reasonable alternative or refund the undelivered portion; the client's mandatory remedies remain available.
For material breach, the other party may terminate if the breach is not cured within 10 business days of written notice, or immediately for an incurable material breach. We may immediately suspend an unsafe or unlawful activity, explaining the reason where lawful, and limit suspension to what is necessary. A suspension is not automatic forfeiture of unused prepaid fees.
Consumer cancellation, withdrawal, refund and service-quality rights prevail over these provisions. The applicable consumer supplement must be provided before a consumer purchase. A cancellation request needs no special legal wording; send it to systems@saberra.com. Chargeback and regulator complaint rights are not waived.
6. Review and decision gates
The client has 10 business days after delivery to accept in writing or identify specific deviations from the SOW's acceptance criteria. Silence alone is not acceptance. We will clarify disputes and correct in-scope defects at no additional fee, ordinarily within 15 business days or another reasonable agreed period. New requirements follow change control. A review period does not eliminate rights for latent defects or mandatory remedies.
For a decision-gate engagement, the gate tests the named deliverable against the SOW's criteria. We do not invoice or start the next phase until the client approves that phase. A well-supported no-go or pivot recommendation can satisfy a validation deliverable; achieving sales, financing, or participant unanimity is not guaranteed unless expressly and lawfully promised in the SOW.
If a material in-scope defect remains unresolved after the correction period, the client may reject the affected work and receive an appropriate refund of the affected fees, with any retained usable portion agreed in writing. Statutory repair, repeat-performance, price-reduction, or other remedies are preserved. These terms do not retroactively narrow an earlier guarantee or amend an existing agreement.
7. Mutual confidentiality
For accepted engagements, each party protects the other's nonpublic information disclosed in any form that is marked confidential or reasonably understood to be confidential, including business plans, financial data, customer information, credentials, source code, prompts, workflows, and meeting content. Use is limited to evaluating or performing the engagement. Apply reasonable care, at least the care used for comparable information of one's own.
Disclosure is limited to personnel, approved contractors and professional advisers who need access and are bound by suitable confidentiality duties or professional obligations. Each party is responsible for its representatives' compliance. Sharing with an AI provider is a disclosure and is allowed only under the approved provider/data schedule. Confidential information may not be used to train shared or general-purpose models, create unrelated products, or develop marketing/case studies without specific written permission and a lawful basis.
Information is excluded only to the extent the recipient can demonstrate that it became public without breach, was lawfully known without restriction, was independently developed without using the disclosure, or was lawfully received from another source. Required legal disclosure is limited to what is required, with advance notice and reasonable protective assistance where legally permitted.
On request or termination, return or delete confidential information within 30 days, except necessary legal records and isolated backups deleted on the documented cycle. Retained copies remain protected and unavailable for ordinary reuse. Confidentiality survives five years after the engagement ends; trade secrets remain protected while legally qualifying. Personal-data duties follow applicable law and the DPA.
Nothing prevents lawful regulator communications, protected whistleblowing, disclosures to legal advisers, reports of unlawful conduct, or legally protected honest reviews. No prior notice is required where law protects confidential reporting. An individual is not liable under federal or state trade-secret law for a confidential disclosure to a government official or attorney solely to report or investigate a suspected legal violation, or for a disclosure in a court filing under seal, as provided by 18 USC 1833(b). In a retaliation action for reporting a suspected violation, the individual may provide the trade secret to their attorney and use it in the proceeding if filings containing it are under seal and further disclosure occurs only under court order. This does not authorize otherwise unlawful access. The signed agreement will include any required notice applicable to employees, contractors or consultants.
Public website submission does not by itself create a mutual NDA. We handle personal data under the Privacy Policy, but request a signed NDA before sending sensitive commercial information. A fit call does not bind other attendees, affiliates, or third parties to confidentiality unless they separately agree.
8. Intellectual property and publicity
Each party retains its preexisting materials, methods, general know-how and independently developed technology. The client grants us a limited license to use client materials only to perform the engagement and warrants it has the necessary rights and lawful permissions for that use.
Upon full payment of the applicable deliverable fees, we assign our transferable intellectual-property rights in the bespoke final deliverables identified in the SOW to the client. To the extent legally permitted and necessary for that use, we agree not to assert moral rights in those assigned deliverables. Until payment, the client may review them internally. We will secure appropriate rights from our contributors.
We retain background frameworks, templates, reusable utilities and tools identified in the SOW. To the extent embedded in paid deliverables, we grant the client a perpetual, worldwide, nonexclusive, royalty-free license to use, copy, modify and have service providers maintain them as necessary to use the deliverables, transferable with the relevant business or deliverable. Standalone resale of our background tools is not included. Confidential client specifics may not be reused as general know-how.
Third-party and open-source materials retain their own licenses and restrictions, disclosed in the delivery inventory. We will not introduce material license obligations inconsistent with the agreed use without approval. AI-generated material may not be unique, protectable, or exclusively owned; we transfer only rights we actually hold, identify material AI use, and do not promise freedom from every third-party claim.
No client name, logo, testimonial, recording, or case study may be used in publicity without separate written approval specifying the material and use. No license to trademarks is implied by website access. The client receives agreed files/exports and handoff; ongoing third-party hosting and subscriptions are not perpetual services unless expressly contracted.
9. AI and automated services
The SOW identifies approved AI providers, data classes, model/settings where material, processing locations, retention/training controls, usage budgets and human approval points. We do not submit confidential or personal client data to an unapproved AI service. If a required control cannot be verified, stop that processing and agree an alternative. Vendor terms are not assumed to provide zero retention or no training.
AI can produce inaccurate, incomplete, biased, insecure or infringing output. The SOW assigns human review, verification and deployment responsibility. We perform our promised testing; the client reviews outputs before consequential use within its control. That allocation does not excuse either party's negligence or statutory duties.
No autonomous spending, external sending, destructive change, or binding decision is authorized except within explicit written permissions and tested limits. Use least-privilege access, appropriate logs, escalation, and a stop/rollback procedure. Experimental labs use a bounded pilot and approved test data. No high-risk or regulated decision system, biometric use, employment screening, credit, health or safety-critical function is in scope without a separately reviewed agreement and safeguards.
Model/provider availability and behavior may change. Material substitutions or new data uses need approval. A provider outage may require schedule or scope changes; it does not automatically eliminate our duties or authorize extra charges. Hosted software and related products require their own service agreement and privacy terms where applicable.
10. Data protection and security
Each party complies with laws applicable to its role. Where we process personal data on the client's instructions, a completed DPA and schedules must be signed before access. The client is responsible for lawful instructions and required notices/permissions, and we are responsible for our own processing and agreed security controls. Use the least data and access necessary. No security promise means absolute security.
We notify the client of a confirmed or reasonably suspected incident affecting its data without undue delay, with an initial notice within the DPA's agreed period, and cooperate on containment, investigation, recovery and required notifications. The DPA controls specific breach duties and transfer arrangements. Meeting recording or AI transcription requires advance disclosure and appropriate permission, including from participants as required by law. An ordinary engagement is not blanket permission to record.
11. Warranties and remedies
We will perform services with reasonable skill and care and material conformity to the SOW. Each party warrants authority to enter the agreement. Except for express warranties and warranties that law does not permit exclusion, no additional warranty of a particular commercial result, uninterrupted operation, merchantability or fitness for an unstated purpose is given. This paragraph does not exclude mandatory service-quality or consumer protections. Defect remedies are described in section 6 and do not restrict nonexcludable remedies.
12. Liability allocation
FOR BUSINESS CLIENTS ONLY, AND ONLY TO THE EXTENT LAW PERMITS: each party's total aggregate liability arising from an affected SOW is limited to fees paid or payable under that SOW in the 12 months preceding the event giving rise to the claim. For breach of confidentiality, data-protection/security obligations, or the express IP indemnity, a separate higher aggregate ceiling of twice that amount applies. The caps are not multiplied by the number of claims; related events are treated together, without improperly combining unrelated SOWs.
Neither party is liable for indirect or consequential loss or lost profits to the extent law permits. Reasonable direct costs of data restoration, incident response and required notifications are not excluded merely by labeling them consequential. Amounts payable under an express third-party indemnity are not excluded solely because the third party describes its loss as indirect, but remain subject to the applicable cap.
No limitation or exclusion applies to fraud, willful misconduct, gross negligence where it cannot lawfully be limited, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited. Payment of earned undisputed fees, return of unused advance payments and agreed refunds are primary payment obligations, not damages reduced by a cap. No clause limits a data subject's or regulator's rights. Consumers retain all mandatory remedies; the B2B caps are not applied to them without a separate lawful consumer agreement.
13. Third-party IP claims
For business engagements, we will defend a third-party claim that our original paid deliverables infringe its copyright or trade-secret rights, and pay the final damages or approved settlement, subject to section 12. This does not cover the extent a claim arises from client-supplied materials, unauthorized modifications, or combinations outside the agreed use. For disclosed third-party/AI material, the SOW must identify available vendor protection; this clause does not falsely guarantee vendor indemnity. We remain responsible for our own unauthorized use.
The client will similarly defend and pay a claim arising from client-supplied materials that the client lacked authority to provide for the agreed use, excluding the extent caused by our misuse. The protected party gives prompt notice, reasonable assistance at the defending party's expense, and defense control to suitable counsel. Delay excuses obligations only to the extent materially prejudicial. No settlement may admit fault, impose nonmonetary duties, or fail to fully release the protected party without its consent, not unreasonably withheld.
We may obtain rights, replace or modify affected work without materially reducing agreed function, or terminate that affected portion and refund its unusable prepaid value if those options are not reasonable. Mandatory remedies remain available.
14. Termination, handoff and general terms
On termination we provide paid deliverables and an agreed data export, revoke access no longer needed, and return/delete data under the applicable schedule. Transition assistance beyond the included handoff requires agreement; client data is not held hostage to a disputed invoice. Earned payment, refund, ownership, confidentiality, data, liability and dispute provisions survive as necessary.
Neither party is an employee, partner or agent of the other. Reasonable subcontracting is permitted only subject to confidentiality, security and any DPA authorization; we remain responsible for contracted performance. No assignment that materially reduces the other party's rights is permitted without consent, except a lawful business transfer with written assumption and notice.
For events beyond reasonable control, promptly notify the other party, mitigate and agree a revised plan. If substantial prevention continues for 30 days, either party may end affected work and reconcile earned fees and unused advances. Force majeure does not excuse protection of data or withholding required refunds.
For accepted business engagements, Texas law governs, without its conflict-of-law rules, and the state or federal courts with jurisdiction in Travis County, Texas are the agreed forum, unless the signed agreement states otherwise. Before litigation, designated contacts will try in good faith for 30 days to resolve a written dispute, without delaying urgent relief, statutory deadlines, small-claims rights or regulatory complaints. No mandatory arbitration or class-action waiver is created. Mandatory consumer forum and law protections prevail.
Notices go to the SOW's designated addresses; receipt is established by acknowledgment, confirmed delivery, or another legally valid method. If a clause is invalid, the remaining terms continue to the extent lawful without rewriting the bargain to remove protected rights. A waiver must be express. Changes to a signed engagement require mutual written agreement. New website versions apply prospectively and do not amend existing agreements through continued browsing. Electronic counterparts and signatures may be used to the extent lawful.
15. Website materials and other services
We permit ordinary personal or internal business use of public materials. Do not misrepresent authorship, infringe rights, bypass access controls, introduce harmful code, or misuse other people's data. Public educational content and diagnostic scores are informational and do not establish a professional-client relationship. Lawful quotation, accessibility use and other protected rights remain unaffected.
Third-party links, including related brands and products, have their own applicable terms. A referral is not authorization to share confidential or personal information across those services. Contact systems@saberra.com for questions, complaints, cancellations, or a copy of the version incorporated into an agreement.
